Terms of Service
& Platform User Agreement

1. Scope & Self-Serve License Grant

1.1 Service Provision

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with your selected self-serve subscription plan and terms.

1.2 User Roles

The Platform caters to various roles (Incubators, Accelerators, VCs, Family Offices, Individual Consultants, Investors, and Startup Founders). You agree to register under your true legal identity and capacity.

2. Platform Role & No Financial Guarantee

2.1 Facilitator Only

ai.STARTUPJURY is an AI-enabled technology platform that connects investors, advisors, incubators, and startups. We are not a registered broker-dealer, financial advisor, investment bank, or regulatory body.

2.2 No Funding Guarantee

We do not guarantee that startups will receive funding, nor do we guarantee investment returns, successful outcomes, or deal flow quality for investors and advisors.

3. User Submissions, Data License & Confidentiality

3.1 Beta or Pre-releases

User acknowledges that the Platform (or specific features thereof) which are currently provided as a Beta / Pre-Release version or in future releases, may contain bugs or errors, and is subject to continuous modifications, feature removals, or temporary unavailability.

3.2 Ownership of Pitch & Deal Data

Users retain full ownership of all pitch decks, financials, IP, and proprietary materials uploaded to the Platform.

3.3 Data License to Platform

The user grants the platform a limited, global, royalty-free license to host, display, and process your data for your account’s users only, solely for operating the AI evaluation tools and delivering Platform functionality to you.

3.4 Investor Confidentiality

All non-public startup information accessed via the Platform as strictly your confidential business data.

4. Intellectual Property, Plagiarism & User Content

4.1 User Warranty of Originality

You represent and warrant that you own or have obtained all necessary licenses, rights, consents, and permissions to upload, submit, or display any content, data, pitch materials, or intellectual property on the Platform. You further warrant that your user submissions do not and will not infringe, misappropriate, or violate any third-party copyright, trademark, patent, trade secret, or privacy right.

4.2 Copyright Infringement & Takedown Policy

ai.STARTUPJURY respects the intellectual property rights of others. If you believe that any content hosted on the Platform infringes upon your copyright, you may submit a written notice to our Designated Agent at info@startupjury.ai. Upon receipt of a valid notice, we reserve the right to immediately remove or disable access to the allegedly infringing material and suspend repeat infringers' accounts without prior notice.

4.3 AI Output Disclaimer

You acknowledge that AI-generated outputs, evaluations, and summaries provided by the Platform rely on machine learning models. ai.STARTUPJURY makes no representation or warranty that AI-generated outputs are entirely unique, plagiarism-free, or eligible for independent copyright protection. You assume all risk for validating AI-generated outputs before relying on them.

4.4 Publishing of Screenshots

Users agree that they are prohibited from publishing screenshots, benchmark evaluations, or public reviews of features of the application without prior written approval.

4.5 Feedback, Suggestions & Feature Requests

Any feedback, suggestions, feature requests, or bug reports provided by User regarding the Platform shall become the sole and exclusive property of the Platform, with all associated IP rights assigned without royalty or obligation.

4.6 Passive Conduit

You acknowledge that ai.STARTUPJURY acts as a passive pipeline for user-generated content. We do not prescreen, audit, verify, or monitor user submissions for accuracy, originality, plagiarism, or intellectual property clearance.

5. Service Availability, Delays & Force Majeure

5.1 Maintenance & Disruptions

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time for maintenance, upgrades, or emergency fixes without prior notice. You agree that ai.STARTUPJURY shall not be liable for any performance delays, feature changes, or service interruptions.

5.2 Platform Rights

The user agrees to give the platform the right to terminate beta access or wipe/reset non-essential testing environments at any time without advance notice or liability.

5.3 Force Majeure

We shall not be held liable or deemed in default for any failure or delay in performance resulting from acts beyond our reasonable control, including but not limited to failure of cloud hosting infrastructure, third-party AI APIs, internet service providers, cyberattacks, telecommunications failures, government actions, or natural disasters.

6. Disclaimer of Warranties

6.1 “AS IS” Basis

THE PLATFORM, SERVICES, AI-GENERATED EVALUATIONS, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

6.2 Exclusions

AI.STARTUPJURY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND SYSTEM INTEGRITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES.

7. Limitation of Liability

7.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI.STARTUPJURY, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, DATA, SAVINGS, OR BUSINESS OPPORTUNITIES—ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Absolute Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE STRICTLY LIMITED TO THE GREATER OF:

You agree to defend, indemnify, and hold harmless ai.STARTUPJURY, its affiliates, officers, directors, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms;
• Data, pitch materials, or content uploaded by you;
• Any allegation that your content infringes or plagiarizes third-party IP rights;
• Your interactions or agreements with other Platform users; or
• Your violation of any applicable laws (including securities laws).

9. Subscriptions, Payments & Renewal

9.1 Fees

Access to certain tiers or automated evaluation features requires subscription fees, which are clearly stated at checkout and are non-refundable unless required by applicable law.

9.2 Auto-Renewal

Subscriptions are subject to automatic renewals on a recurring basis unless cancelled prior to the renewal date via your account settings.

10. Global Compliance, Governing Law & Dispute Resolution

10.1 Securities & Local Laws

Each User is solely responsible for ensuring that their pitch, deal sourcing, advisory, or investment activities comply with applicable local laws and regulations across jurisdictions.

10.2 Governing Law

These Terms are governed by and construed in accordance with the laws of Telangana, India, without regard to conflict of law principles.

10.3 Arbitration

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by binding arbitration in Telangana, India, in accordance with the applicable arbitration laws and procedures.
